1. Acceptance of Terms

By accessing or using VettCode's services, including the vettcode.com website and the VettCode scanner CLI tool, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.

2. Service Description

VettCode provides privacy-first technical due diligence services for software mergers and acquisitions. Our services include:

  • A free, locally-run code scanner that produces hashed analysis data
  • Signed PDF reports with grades, risk assessments, and verification links
  • Optional AI-powered deep scan analysis (premium feature)
  • Public report verification system

3. Accounts

You must create an account to upload scan results and purchase reports. You are responsible for maintaining the security of your account credentials. You may sign in using Google, GitHub, or Apple authentication. You must provide accurate information when creating your account.

4. Scanner Usage

The VettCode scanner CLI tool is provided free of charge for unlimited use. The scanner runs locally on your machine and produces a JSON file containing only hashes and aggregate metrics. No source code leaves your machine during local scans. You may use the scanner on any codebase you have authorization to scan.

5. Reports and Payments

5.1 Pricing

Report pricing is based on total lines of code and is charged as a one-time fee. Prices are displayed at the time of purchase and are subject to change. The pricing tier is determined automatically based on your scan data.

5.2 Refunds

Signed reports are non-refundable once generated. If you experience technical issues preventing report generation, please contact support@vettcode.com.

5.3 Report Accuracy

Reports reflect the state of the codebase at the time of scanning. VettCode does not guarantee that report grades or assessments will remain accurate over time as codebases evolve. Reports are provided as informational tools and should not be the sole basis for acquisition decisions.

6. Deep Scans

Deep scans involve sending source code to a third-party AI provider (Anthropic) for analysis. Deep scans require explicit seller approval before any code is shared. The buyer declares the deal value, which determines pricing. The seller may confirm or adjust the deal value during the approval step. Deep scan pricing is 0.5% of the declared deal value, with a minimum of $499 and a maximum of $4,999.

7. Verification

Each signed report includes a public verification link that allows anyone to confirm the report's authenticity without creating an account. Verification confirms the report was generated by VettCode and has not been tampered with. It does not guarantee the accuracy of the underlying code analysis.

8. Company Name Attestation

When uploading scan results, you provide the company name that will appear on the report. By submitting this information, you attest that you are authorized to represent this company and that the scan data corresponds to the company's codebase. Providing false company information may result in account termination.

9. Intellectual Property

You retain all rights to your source code and scan data. VettCode retains rights to the report format, grading methodology, and platform technology. Signed reports may be shared with third parties (e.g., buyers) at your discretion.

10. Limitation of Liability

VettCode provides reports on an “as is” basis. VettCode is not liable for any decisions made based on report content. Our total liability is limited to the amount paid for the specific report in question. VettCode is not liable for any indirect, incidental, or consequential damages.

11. Account Termination

You may delete your account at any time through the Settings page. We reserve the right to suspend or terminate accounts that violate these terms. Upon account deletion, your personal data and scan data will be permanently removed per our Privacy Policy.

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by posting a notice on our website. Continued use of our services after changes constitutes acceptance of the updated terms.
